Terms of Service

By creating an account or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

Samri provides invoicing, payment, and related financial software tools designed for the food service industry. Features and functionality of the Service may change from time to time at our sole discretion.

To use certain features, you must create an account. You agree to provide accurate and complete information and to keep your account information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

Paid subscriptions are billed in advance on a recurring basis. By providing a payment method, you authorize us and our payment processor to charge applicable fees, taxes, and other charges. Payments are processed securely by Stripe; we do not store full payment card information on our servers.

You may cancel your subscription at any time from your account settings. Upon cancellation, your access will continue until the end of your current billing period, after which it will not renew. Refunds are governed by our Refund Policy.

The Service, including all software, designs, text, graphics, and other content, is owned by Samri or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You retain ownership of any content you upload, but grant us a license to host, store, and process it solely to provide the Service.

You agree not to:

• Use the Service in violation of any applicable law or regulation;
• Upload content that is unlawful, infringing, or harmful;
• Attempt to gain unauthorized access to the Service or its systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service to transmit malware or engage in fraudulent activity.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Service will immediately cease.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMRI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in Delaware.

We may modify these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
